Terms of Use
1. Acceptance of Terms
These Terms of Use (the "Terms") govern your access to and use of Wisdom Recall, including the website at wisdomrecall.com, the web application at app.wisdomrecall.com, and our MCP servers (together, the "Service"). The Service is operated by Wisdom Recall, Inc. ("Wisdom Recall", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 13 years old to use the Service (16 years old if you reside in the European Economic Area). You must have the legal capacity to enter into a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Your Account
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You may not share your account credentials, and one account is permitted per person unless we expressly authorize otherwise. Notify us immediately at security@wisdomrecall.com of any unauthorized use of your account.
4. Subscription Plans, Fees, and Billing
The Service is offered under several tiers. Pricing and feature details are presented at signup and in your account.
- Billing cycles. Plans are billed monthly or annually, as selected at checkout.
- Auto-renewal. Subscriptions renew automatically at the end of each billing cycle at the then-current rate until you cancel.
- Taxes. Fees are exclusive of applicable taxes, which we will add where required.
- Payment processor. Payments are processed by Stripe. You authorize us and Stripe to charge your designated payment method.
- Price changes. We may change prices for future billing cycles. We will give you at least 30 days' notice before a price change takes effect for your subscription.
5. Free Trial Terms
From time to time, we may offer free trials. Unless otherwise stated, at the end of the trial your subscription will automatically convert to a paid plan at the rate disclosed at signup, unless you cancel before the trial ends. Trials are limited to one per user.
6. Refunds and Cancellation
You can cancel your subscription at any time from your account. Cancellation takes effect at the end of the current billing period; you retain access until then. Except where required by law, fees already paid are non-refundable. We may, at our discretion, issue pro-rated refunds in cases of extended service outages or other exceptional circumstances. Nothing in these Terms limits statutory cancellation or refund rights available to consumers in the European Union, United Kingdom, or other jurisdictions.
7. Acceptable Use
You agree not to:
- Use the Service in violation of any law or regulation.
- Upload, store, or transmit content that is unlawful, infringing, defamatory, fraudulent, or harmful.
- Upload malware, viruses, or other malicious code.
- Misuse MCP tokens, including sharing tokens with parties not authorized by you, attempting to use tokens issued to other users, or using tokens to access accounts you do not own.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that applicable law expressly permits.
- Scrape, crawl, or extract data from the Service by automated means beyond documented APIs.
- Send automated mass requests beyond published rate limits or otherwise interfere with the Service's operation.
- Resell or sublicense the Service without our written permission.
We may suspend or terminate access for violations.
8. User Content and the Pearl Vault
You retain ownership of all content you submit to the Service, including the PearlsTM you create and the files you upload (your "User Content"). You grant Wisdom Recall a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, display, reproduce, and create derivative works of your User Content solely as necessary to provide, maintain, and improve the Service for you and to act on your instructions (including transmitting User Content to AI assistants you have connected). This license terminates when you delete your User Content, subject to a reasonable period to remove copies from active systems and backups.
You are responsible for ensuring you have the right to save, use, share, or distribute any content through Wisdom Recall. Wisdom Recall does not grant rights to third-party content or materials that you add to your Pearl Vault. You are solely responsible for any third-party rights, including copyright, trademark, privacy, and confidentiality, attached to content you upload or share.
You represent and warrant that you have all rights, licenses, consents, and permissions necessary to submit your User Content and to grant the license described above, and that your User Content does not violate any law or any third party's rights.
9. Sharing and Distribution
The Service may allow you to share Pearls via links, project sharing, or team features. When you share content, you are responsible for ensuring that your sharing complies with applicable law and any rights attached to that content, including copyright, trademark, privacy, contractual, and confidentiality obligations. Recipients of shared content are bound by these Terms with respect to their use of the Service.
10. Our Intellectual Property
The Service, including software, documentation, design, the "Wisdom Recall" name, our logos, and the PearlTM mark, is owned by Wisdom Recall, Inc. or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no rights are granted by implication, estoppel, or otherwise.
11. DMCA and Copyright Complaints
We respect the intellectual property rights of others. If you believe content on the Service infringes your copyright, send a notice to our designated agent at copyright@wisdomrecall.com that includes:
- Your physical or electronic signature.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material claimed to be infringing and information sufficient to locate it.
- Your contact information.
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
We may terminate accounts of repeat infringers. Counter-notices may be sent to the same address.
12. Third-Party AI Services
Wisdom Recall is a memory layer that connects to third-party AI assistants and services, including ChatGPT, Claude, Copilot, and Perplexity. Those services are operated by their respective providers, and your use of them is governed by their own terms and privacy policies. We do not control, and are not responsible for, the availability, accuracy, content, or behavior of third-party AI services.
13. Beta and Experimental Features
We may offer beta, preview, or experimental features. These are provided "as is" and may be modified, suspended, or removed at any time without notice. They may have additional terms presented at the point of use.
14. Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
15. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Wisdom Recall does not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. Wisdom Recall does not warrant the accuracy, completeness, or reliability of any output generated by AI assistants you connect through the Service. You are responsible for verifying AI outputs before acting on them.
16. Limitation of Liability
To the maximum extent permitted by law, in no event will Wisdom Recall or its officers, directors, employees, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of the Service. Wisdom Recall's total aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the fees you paid Wisdom Recall in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100). The limitations in this section do not apply to liability that cannot be excluded under applicable law, including liability for fraud, gross negligence, or willful misconduct.
17. Indemnification
You agree to defend, indemnify, and hold harmless Wisdom Recall and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to (a) your breach of these Terms, (b) your User Content, (c) your violation of any third-party right, including any intellectual property, privacy, or confidentiality right, or (d) your misuse of the Service.
18. Term and Termination
These Terms remain in effect while you use the Service. You may terminate by deleting your account at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if continued operation poses a risk to the Service or other users. On termination, your right to use the Service ends, and we may delete your User Content after a reasonable retention period as described in the Privacy Policy. Sections that by their nature should survive termination will survive.
19. Modifications to the Service or Terms
We may modify or discontinue features of the Service at any time. We may also revise these Terms. For material changes, we will provide at least 30 days' notice by email, in-app notice, or a prominent notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree to the revised Terms, stop using the Service before the effective date.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws principles. Subject to section 21, the state and federal courts located in Bernalillo County, New Mexico have exclusive jurisdiction over any disputes not subject to arbitration, and you consent to personal jurisdiction in those courts.
21. Dispute Resolution and Arbitration
Informal resolution. Before filing any claim, you agree to contact us at legal@wisdomrecall.com and attempt in good faith to resolve the dispute for at least 60 days.
Agreement to arbitrate. To the fullest extent permitted by law, you and Wisdom Recall agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved exclusively by final and binding arbitration, rather than in court. This agreement to arbitrate is governed by the Federal Arbitration Act and applies to all claims, whether based in contract, tort, statute, or any other legal theory.
Waiver of court and jury trial. You and Wisdom Recall each waive any right to sue in court or to a trial by jury, except as expressly provided below. By accepting these Terms, you knowingly and voluntarily give up these rights. There is no opt-out from this agreement to arbitrate.
Class action waiver. You and Wisdom Recall agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
Arbitration procedure. The arbitration will be administered by a recognized arbitration provider under its consumer arbitration rules, conducted by a single arbitrator, and held in the county of your residence, remotely, or at another mutually agreed location. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
Exceptions. Nothing in this section prevents either party from bringing an individual claim in small-claims court where eligible, or from seeking injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property. If the class action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the remainder of this section still applies.
22. Notices
We may provide notices to you electronically, including by email to the address associated with your account or by notice posted in the Service. Electronic notices are effective when sent. You may send notices to us at legal@wisdomrecall.com.
23. Assignment
We may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer these Terms without our prior written consent. Any assignment in violation of this section is void.
24. Miscellaneous
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
- Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced, constitute the entire agreement between you and Wisdom Recall.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Survival. Sections that by their nature should survive termination (including sections 8, 10, 15, 16, 17, 20, 21, and 24) will survive.
